MUTUAL NON-DISCLOSURE AGREEMENT

This Mutual Non-Disclosure Agreement ("Agreement") is entered into between iCollecta ("Company") and the undersigned ("Recipient") as of the date of electronic signature below.

1. Confidential Information. Each party may disclose certain confidential and proprietary information, including but not limited to business plans, product roadmaps, financial information, pricing, customer data, intellectual property, and the iCollecta pitch deck ("Confidential Information").

2. Obligations. The Recipient agrees to: (a) hold the Confidential Information in strict confidence; (b) use it solely for the purpose of evaluating a potential business or investment relationship with the Company; (c) not disclose, copy, or distribute it to any third party without prior written consent; and (d) protect it with at least the same degree of care used to protect its own confidential information, but no less than reasonable care.

3. Exclusions. This Agreement does not cover information that is: (a) already publicly known; (b) rightfully received from a third party without obligation of confidentiality; (c) independently developed without use of the Confidential Information; or (d) required to be disclosed by law or court order, with prompt notice to the other party where permitted.

4. Term. The obligations under this Agreement shall survive for three (3) years from the date of disclosure.

5. Return / Destruction. Upon request, the Recipient shall return or destroy all Confidential Information in its possession and certify such destruction in writing.

6. No License. Nothing in this Agreement grants any right or license to the Confidential Information, which remains the sole property of the disclosing party.
